Terms of Service

1. Acceptance of Terms

By accessing or using EscrowPilot.ai ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including escrow officers, administrators, and transaction parties accessing the client portal.

2. Description of Service

EscrowPilot provides an AI-powered escrow workflow platform including: - AI document classification and renaming - Document storage integration (GreenFolders, SharePoint, Dropbox) - SMS and email notifications to transaction parties - Transaction management dashboard - Automated workflow rules engine - Client portal for buyer/seller visibility - eSign integration (DocuSign, VentureSign) - Intake connectors for document automation

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access.

4. Acceptable Use

You agree not to: - Use the Service for any illegal purpose - Upload malicious files or content - Attempt to access other users' data - Reverse engineer or copy the Service - Send unsolicited messages (spam) through our SMS feature - Exceed reasonable usage limits - Share your API keys or account credentials

5. SMS Program — Recipient Terms

Program name: EscrowPilot Transactional SMS. What you will receive: Transactional text messages about a real estate escrow transaction you are a party to, including escrow opening, document receipt confirmations, milestone completions, status updates, closing date reminders, and funding/closing confirmations. No marketing or promotional messages are sent through this program. How to opt in: When a licensed escrow officer adds you to an active escrow transaction on EscrowPilot, you will receive an initial confirmation SMS identifying the officer, escrow number, and property. You must reply YES or START to that message before any further messages are sent. If you do not reply, no additional messages will be delivered. Message frequency:Varies based on your transaction's activity. Typical escrow transactions generate between 5 and 25 messages over 30 to 45 days. Message and data rates:Msg & data rates may apply. Check with your mobile carrier for details. EscrowPilot is not responsible for carrier charges. Help: Reply HELP at any time to receive support information, or email support@escrowpilot.ai. Opt out: Reply STOP, STOPALL, UNSUBSCRIBE,CANCEL, END, or QUIT at any time to immediately stop all messages from this program. You will receive a final confirmation that you have been unsubscribed. To resubscribe, reply START. Carriers:T-Mobile, AT&T, Verizon, and other US carriers are not liable for delayed or undelivered messages. 5a. SMS — Operator Terms (for escrow officers using the Service)

If you are an EscrowPilot customer (escrow officer) sending messages to transaction parties, you agree to: - Only send messages to parties with whom you have a pre-existing business relationship (i.e., they have engaged you as their escrow officer) - Comply with TCPA, CTIA, A2P 10DLC, and all applicable messaging regulations - Honor opt-out requests (STOP messages) — this is handled automatically by EscrowPilot but you must not attempt to circumvent it - Not send marketing or promotional messages through the transactional channel - Use messaging for transactional escrow communications only

6. Document Ownership & AI Processing

You retain full ownership of all documents uploaded to EscrowPilot. By uploading documents, you grant us a limited license to: - Process documents through AI for classification - Store documents in your account - Sync documents to your connected storage systems - Display document metadata in your dashboard We do not use your documents to train AI models. AI classification is performed using third-party models (Anthropic Claude) under their data processing terms.

7. Subscription & Billing

Paid plans are billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel at any time — cancellation takes effect at the end of the current billing period. Free trial period: 3 days. No charge during the trial. If you do not cancel before the trial ends, your subscription will begin automatically.

8. Service Level

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We are not liable for downtime due to: - Planned maintenance (with advance notice) - Third-party service outages (Firebase, Twilio, Stripe, etc.) - Force majeure events - Your internet connection or equipment

9. Limitation of Liability

EscrowPilot is a workflow automation tool. We are NOT a licensed escrow company, title company, or financial institution. We do not: - Provide legal, financial, or real estate advice - Guarantee the accuracy of AI classifications - Handle escrow funds or wire transfers - Provide title insurance or guarantees To the maximum extent permitted by law, EscrowPilot's liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Indemnification

You agree to indemnify and hold EscrowPilot harmless from claims arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

11. Termination

We may terminate or suspend your account if you violate these terms. You may terminate your account at any time by contacting support. Upon termination, your data will be deleted per our Privacy Policy.

12. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

13. Governing Law

These terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts of San Diego County, California.
